Supplier Registration Agreement 
欢迎您来到《中远海运重工有限公司电子采购平台》（以下简称“本平台”），如想成为本平台用户，您须仔细阅读本注册协议内容，并同意接受下面协议条款的约束、自愿签订本注册协议。如有任何疑问，可向本平台咨询。


	Welcome to the "E-procurement Platform of COSCO Shipping Heavy Industry Co., Ltd." (hereinafter referred to as "the platform"). If you want to become a user of this platform, you should carefully read the contents of this registration agreement and accept the terms of the following agreement and sign voluntarily. If you have any questions, please contact with this platform.


	特别提醒：无论用户事实上是否在注册之前认真阅读了本注册协议，只要用户点击本平台服务协议正下方的“同意”按钮并按照本平台注册程序成功成为注册用户，用户的行为仍然表示其同意并签署了本平台协议。 
Attention: Regardless of whether the user has actually read this registration agreement before registering or not, as long as the user clicks the "Agree" button below the platform service agreement and successfully becomes a registered user according to the registration procedure of this platform, the user's behavior indicates that he has agreed and signed the platform agreement.


	一、用户的权利与责任The rights and responsibilities of users 
（一）权利Rights 
1、在本平台上发布用户的注册信息； 
Publish the registration information of the user on the platform; 
2、用户发布在本平台上的信息，有查询和要求修改的权利； 
Inquire and request modification of the information published by the user on the platform. 
3、拥有按规定获取竞价信息服务权利； 
Obtain bidding information services by rule; 
4、有权对中远海运重工有限公司及其下属企业（以下均简称中远海运重工）相关人员进行监督和投诉。 
Supervise and complain about the relevant personnel of COSCO Shipping Heavy Industry Co., Ltd. and its subsidiaries (hereinafter referred to as COSCO Shipping Heavy Industry). 
（二）责任Responsibility 
1、用户必须保证其所提供资料和信息的真实性和准确性，如资料或信息有任何变动，必须及时更新。如提供虚假信息，将被取消中远海运重工合格供方资格。如中远海运重工因用户提供虚假信息而遭受损失的，用户应赔偿由此对中远海运重工造成的损失； 
The user must ensure the authenticity and accuracy of the provided information. Any change of the information must be updated in a timely manner. If false information is provided, the user will be disqualified from the qualified supplier of COSCO Shipping Heavy Industry. If COSCO Shipyard Heavy Industries suffers losses due to the provision of false information by the user, the user shall compensate for the losses caused thereby. 
2、中标后必须按照中远海运重工的相关规定在规定期限内签订合同； 
After winning the bid, the contract must be signed within the prescribed time limit in accordance with the relevant provisions of COSCO Shipping Heavy Industry; 
3、 用户应妥善保管自己的账户、密码等注册信息，如果因用户保管不善造成账号、密码丢失或泄露，应及时书面通知中远海运重工，申请停止使用。否则，由此引起的后果由用户自行承担。停止使用期间，用户将无法进行业务。如果需继续进行业务操作，用户需提交书面申请，按照平台密码程序重新设置密码。用户不得将账号转给其它个人或单位使用。若因用户原因泄露账号、密码等信息造成中远海运重工遭受损失的，用户承担相应的赔偿责任； 
The user should keep the account, password and other registration information properly. If the account or password are lost or leaked due to improper storage, the user should promptly notify COSCO Shipping Heavy Industry in writing to stop using the account. Otherwise, the consequences will be borne by the user. During the disuse of service, the user will not be able to conduct business. The user must submit a written application and reset the password according to the platform password program to continue the business operation. The user may not transfer their accounts to other individuals or organizations. If the account, password and other information are leaked due to user reasons, and cause losses to COSCO Shipping Heavy Industry, the user shall bear the corresponding liability for compensation; 
4、不得攻击、干扰平台网络服务，利用账号对本平台非法登录和进行数据破坏活动；必须遵守中国有关的法律和法规，不得为任何非法目的而使用本平台，不得利用本平台传输任何中伤他人的、辱骂性的、恐吓性的、庸俗淫秽的或其他任何非法的信息资料； 
The user shall not attack or interfere with the platform network service, or use the account to illegally log in and perform data destruction activities on the platform; The user must comply with relevant Chinese laws and regulations, and shall not use the platform for any illegal purposes, and shall not use this platform to transmit any sinful, insulting, intimidating, vulgar, obscene or any other illegal information; 
5、所有供应商（除内部协同企业）用户不得在中远海运集团专网内登录本平台；&nbsp; 
All suppliers (except internal collaborative enterprises) shall not log in to the platform within the special network of COSCO Shipping Group; 
6、所有用户须对自身的报价数据、报价时间等信息严格保密，不得违反《中华人民共和国招标投标法》等相关规定； 
All users should strictly keep confidential of their quotation data, quotation time and other information, and shall not violate the relevant provisions of the Bidding Law of the People's Republic of China; 
7、所有用户必须规范自身的报价等行为，不得相互串通报价，不得排挤其他供应商的公平竞争，不得损害采购人或者其他用户的合法权益，并积极配合中远海运重工的相关调查和监督。 
All users should regulate their own quotation and other behaviors, shall not collude on the biding price, and shall not exclude others from fair competition so as to impair the lawful rights and interests of the purchasers or other users, and the user should actively cooperate with COSCO Shipping Heavy Industry’s investigation and supervision. 
9、本平台所提供的包括文字、软件、图片及图表等全部内容，以及本平台为用户提供的其他信息均受版权、商标等有关法律的保护，用户不能擅自复制、再造、或创造与内容有关的派生产品。任何人需要转载本平台的文章，必须经本平台书面同意和授权。 
The contents of the platform, including text, software, pictures and graphics, as well as other information provided by the platform for users, are all protected by copyright, trademark and other relevant laws. Users shall not copy, reproduce, or create derivative products related with content. Anyone who needs to reprint articles on this platform must obtain written consent and authorization from this platform. 
10、若用户的行为违反以上提到的条款，本平台将作出独立判断并立即终止其用户资格。用户需对自己在本平台网络服务的操作行为承担法律责任，本平台的系统记录可以作为用户违反法律的证据。 
If the user's behavior violates the terms above, the platform will make an independent judgment and immediately terminate its user qualification. Users are responsible for the operation of their network services on this platform. The system records of this platform can be used as evidence that the user has violated the law.


	（三）与中远海运重工有限公司展开业务的流程： 
Business process with COSCO Shipping Heavy Industry: 
1、新供应商注册成为用户后，相关资料通过本平台提交中远海运重工，中远海运重工进行评审，评审通过后，才有资格参与具体项目； 
After the new supplier is registered as a user, the relevant materials will be submitted to and reviewed by COSCO Shipping Heavy Industry through this platform. After the approval, the user will be eligible to participate in specific project; 
2、中远海运重工通过本平台发布采购项目信息； 
COSCO Shipping Heavy Industry releases the procurement project information through this platform; 
3、受邀用户通过本平台下载项目信息（包括标书）、报价（或投标）； 
Invited users could download project information (including bids) and quotations (or bids) through the platform; 
4、中远海运重工通过本平台开标、评标； 
COSCO Shipping Heavy Industry opens bids and evaluate bids through this platform; 
5、中远海运重工通过本平台发布中标公告； 
COSCO Shipping Heavy Industry publishes the bidding announcement through this platform; 
6、双方签订合同、执行合同。 
Both parties sign contracts and execute contracts.


	二、本平台的权利与责任The rights and responsibilities of platform 
（一）权利Rights 
1、当用户提供虚假信息时，本平台有权利取消其信息的发布或封停其用户账号； 
When the user provides false information, the platform has the right to cancel the released&nbsp; information or ban its user account; 
2、当用户违反注册协议及其与中远海运重工签署的其他协议规定时，本平台有权利封停其账号； 
When the user violates the registration agreement and other agreements signed with COSCO Shipping Heavy Industry, the platform has the right to ban its account; 
3、当网站出现安全方面的紧急状况时，本平台有权利暂停服务； 
When the website has a security emergency, the platform has the right to suspend the service; 
4、本平台需要定期或不定期地对本平台或相关设备进行检修或者维护，如因此类情况而造成本平台在合理时间内的中断，本平台无需为此承担任何责任，但本平台应尽可能事先进行通告。 
This platform and related equipment need regular or irregular repair or maintain. If the platform is interrupted within a reasonable time due to such circumstances, the platform does not need to bear any responsibility, but the platform will give advance notice as far as possible. 
（二）责任Responsibility 
本平台尊重和保护供应商隐私，承诺不会公开、转让或者透露任何供应商的不可公开的注册资料以及供应商在本系统中保存的非公开内容，除非： 
The Platform respects and protects the privacy of its suppliers and promises not to disclose, transfer or disclose any non-public available registration materials and non-public content maintained in the System by the supplier, unless: 
1、遵守有关法律、法规、规章的强制性规定； 
Obey the mandatory provisions of relevant laws, regulations and rules; 
2、维护中远海运重工的合法权益； 
Maintain the legitimate rights and interests of COSCO Shipping Heavy Industry; 
3、维护国家利益和社会公众利益； 
Maintain national interests and public interests; 
4、事先获得注册供应商的明确授权。 
Obtain a clear authorization from the registered supplier in advance. 
作为上述规定的例外，即供应商一旦自愿在本平台披露信息，那么该信息将可能被其他机构或者任意获取和使用，本平台及中远海运重工对此将不承担任何责任。 
As an exception to the above provisions, once the supplier voluntarily discloses information on the platform, this information might be obtained and used arbitrarily by other institutions or arbitrarily. The platform and COSCO Shipping Heavy Industry will not bear any responsibility hereto.&nbsp;


	三、适用法律The applicable law 
本协议的订立、执行、解释均应适用中国法律并受上海市虹口区人民法院管辖。 
The conclusion, execution and interpretation of this Agreement should apply Chinese laws and is subject to the jurisdiction of People's Court of Hongkou District of Shanghai.


	四、不可抗力Force majeure 
对因不可抗力事件给用户造成的损害，本平台不承担责任。不可抗力事件包括但不限于： 
This platform is not responsible for damage caused to users due to force majeure events. Force majeure events include but are not limited to: 
1、 本平台已经采取合理的防电脑病毒手段，但仍遭受电脑病毒破坏的致使用户资料受损的； 
The platform has taken reasonable measures against computer viruses, but it is still damaged by computer viruses, causing damage to user data; 
2、本平台已经采取合理的防电脑黑客入侵手段，但仍遭受电脑黑客入侵致使用户资料受损或被窃取； 
The platform has adopted reasonable anti-computer hacking methods, but still be hacked and the user data is therefore damaged or stolen; 
3、因计算机设施或操作系统软件本身固有的技术缺陷、通讯故障、停电等突发事故而引起的用户资料数据受损或被窃取的； 
User data is damaged or stolen due to technical defects inherent in computer facilities or operating system software, communication failures, power outages, etc.; 
4、无法预见、无法避免且无法克服的其他情况。 
Other situations that cannot be foreseen, avoided, or overcome. 
因上述不可抗力事件造成交易通讯中断或交易数据失真，恢复交易时以故障发生前本平台主机最终记录的交易数据为有效数据。 
Due to the above force majeure event, the transaction communication is interrupted or the transaction data is distorted. When the transaction is resumed, the final transaction data recorded by the host of the platform before the failure occurs will be considered as valid data.


	五、免责条款 Disclaimer 
1、本平台对任何因用户不正当或非法使用服务，或因用户发布言论、信息而产生的直接、间接、偶然、特殊及后续的损害不承担任何责任； 
The Platform shall not be liable for any direct, indirect, incidental, special or consequential damages arising from the user's improper or illegal use of the services or user's statements or information; 
2.本平台对因第四条规定的不可抗力原因造成的服务中断或不能满足用户的要求及其他后果不承担任何责任； 
The platform does not assume any responsibility for the interruption of service or the failure to meet the requirements of the user and other consequences caused by the force majeure according to Article 4; 
3.由于通信线路、网络、用户所在位置以及其他任何技术原因而导致用户不能接受本平台服务时，本平台不承担任何责任； 
The platform does not assume any responsibility for the user's inability to accept the platform services due to the communication line, network, user location and any other technical reasons; 
4.对于因用户提交资料不准确或不及时更新其资料而给他人或用户自身造成的任何损失、影响及风险，本平台不承担任何责任。 
The Platform does not assume any responsibility for any loss, impact or risk caused to the others or the users themselves due to inaccurate submission or incorrect updating of their materials. 
六、特别声明 Special statement 
1、为保证用户利益，受邀供应商可以在本平台查看其所参与项目的相关信息； 
In order to ensure the interests of users, the invited suppliers can check relevant information of the projects they participate in on the platform; 
2、本注册协议自各供应商注册成为本平台用户时即刻生效； 
This registration agreement shall become effective immediately upon registration by each supplier as a user of the Platform; 
3、供应商用户资格的取消，并不意味着资格取消前的未完成交易的撤销，也不能消除因取消前的交易所带来的任何法律后果。 
The cancellation of the supplier's user qualification does not mean the cancellation of the uncompleted transaction before the cancellation of the qualification, nor the legal consequences of the transaction before the cancellation. 
七、本协议效力Effect of this agreement 
1、本协议由中远海运重工制定，最终解释权归中远海运重工所有。 
This agreement is formulated by COSCO Shipping Heavy Industry, and the final interpretation right belongs to COSCO Shipping Heavy Industry. 
2、本协议中的任何条款无效不影响本协议其余条款的法律效力，该无效条款应根据有利于协议成立、公平合理的原则被重新补充完善。 
The invalidity of any provision of this agreement shall not affect the legal effect of the remaining provisions of this agreement. The invalid clause shall be replenished and perfected in accordance with the principle of facilitating the establishment of the agreement and being fair and reasonable.

我已阅读《用户协议》，并同意其内容。取消下一步
